Terms of purchase for companies

  1. Introduction

1.1 These general conditions apply to the purchase of products (the "Products") from C2 Vertical Safety AB ("C2"). The agreement between C2 and the Buyer is hereinafter referred to as the "Agreement".
1.2 The parties may have entered into separate agreements with provisions that differ from these terms and conditions. In the event of such a conflict, such separate agreements shall take precedence over these conditions.
1.3 All prices in the Agreement and these conditions are stated in Swedish kronor excluding VAT, unless otherwise stated.

2. credit information

2.1 C2 is entitled to obtain a credit report on the Buyer. If, in the light of the results, it can be assumed that the Buyer will not be able to fulfil its obligations to C2, C2 is entitled to terminate the Agreement with immediate effect.
2.2 Instead of terminating the Agreement, C2 may require Buyer to provide security for the fulfilment of its obligations. If Buyer refuses to do so, C2 is entitled to refuse delivery or to terminate the Agreement with immediate effect.

3. shipping costs, etc.

3.1 C2 shall arrange for the transport of the Products. This is done via Postens Företagspaket or equivalent to the address stated in the order confirmation. For deliveries over 35 kg, the Products are delivered by road freight.
3.2 Freight is paid by the Buyer in accordance with Posten's price list applicable from time to time:

  • When paying with Dibs (card payment) and invoice, shipping is free for orders over SEK 999 including VAT.
  • For orders below the free shipping limit, a shipping cost of SEK 75 including VAT will be added.
  • When ordering by email/phone, a shipping cost of SEK 150 including VAT will be added.
3.3 The buyer can, by agreement with C2, collect the goods at C2's warehouse (address: CELOG AB in Uppsala, Libro Ringväg 3, 752 28 Uppsala).

4. delivery time, etc.

4.1 The products shall be delivered at the time agreed between the parties. Delivery within Sweden normally takes place on the following working day. Wait for order acknowledgement after placing an order for the delivery date.
4.2 By special agreement, delivery can be made faster by courier. Extra costs will be added in this case.
[4.3 For basic orders or factory orders, the delivery time is as per the order confirmation].

5. delay in delivery

5.1 If the delivery of the Products is delayed and C2 is responsible for the delay, the Buyer is entitled to cancel the Contract if the delay exceeds one week. In addition, the Buyer is not entitled to claim any penalties for delayed delivery. Consequently, the Buyer is not entitled to compensation for any direct or indirect damage he may have suffered as a result of the delayed delivery.

6. price and payment terms

6.1 The price of the Products is stated in the order acknowledgement. C2 reserves the right to make any printing errors.
6.2 In the event that C2 incurs increased costs as a result of customs duties, taxes and/or other public charges or levies, C2 is entitled to adjust the price of the Products accordingly. Such adjustments may also apply to orders already placed.
6.3 Payment shall be made within thirty (30) days of the invoice date. Late payment is subject to penalty interest according to law.
6.4 If payment is delayed for more than three (3) weeks, C2 is entitled to cancel the Agreement with immediate effect. In the event of such cancellation, Buyer is obliged to immediately return any delivered Products to C2 at its own expense. If the Products are not in undamaged condition, Buyer shall provide reasonable compensation to C2 for the deterioration.
6.5 If it can be feared on good grounds that the Buyer will not be able to fulfil his payment obligation within the period stated in section 6.4 above, C2 is entitled to demand adequate security for the payment. In the event that the Buyer fails to provide such security without delay, C2 is entitled to cancel the Agreement with immediate effect.

7. breach of contract by the buyer

7.1 C2 has the right to cancel the Agreement if the Buyer is guilty of a material breach of contract or if there are reasonable grounds to assume that the Buyer is insolvent or otherwise unable to fulfil its obligations to C2.
7.2 Whether or not the contract is cancelled, the Buyer is obliged to compensate C2 for any loss suffered by C2 as a result of the Buyer's breach of contract.

8. Retention of title

8.1 Delivered Products remain the property of C2 until the Products have been paid for in full by the Buyer. C2 reserves the right to take back the Products if the Buyer has not made full payment.
8.2 Until ownership has been fully transferred to the Buyer through full payment, the Buyer is obliged to take good care of the Products and not to sell, modify, sublet or otherwise dispose of the Products in a way that jeopardises the value of the Products or C2's ownership.

9. Liability for faults and complaints

9.1 Significant defects in the Products shall be remedied by C2 after the Buyer's complaint, provided that the complaint has been made in writing within 14 days after the defect was discovered or the Buyer became aware of it. Complaints shall be made to the following address:

C2 Vertical Safety AB
Complaints
Börjegatan 78
752 29 Uppsala

9.2 Rectification shall take place within a reasonable time and at C2's expense, except in the case mentioned in clause 9.3 below. Instead of remedying the fault, C2 may deliver new faultless Products. In such case, Buyer shall return the faulty Products. C2 shall bear the cost of this.
9.3 If a defect has been caused as a result of the Products being used contrary to the intended purpose, accompanying instructions or by negligence in general on the part of the Buyer or another party, C2 is not obliged to remedy or otherwise take measures in connection with the alleged defect. If it later turns out that C2 was not responsible for the alleged defect, the Buyer shall compensate C2 for all costs incurred by C2 in connection with the complaint and measures resulting from it.
9.4 In addition to the warranty conditions specifically applicable to the Products, C2 is only liable for defects that appear within one (1) year from the date of delivery of the Products.
9.5 If rectification or redelivery has not taken place within a reasonable time from the complaint, the Buyer is entitled to cancel the agreement provided that the defect is of significant importance to the Buyer and C2 realised or should have realised this.
9.6 The Buyer is not entitled to claim against C2 for defects in the Products other than those set out in this clause, except as provided in clause 10 below.

10. product liability

10.1 C2 is liable for damage to persons or property caused by the Equipment only if C2 has been guilty of negligence. Buyer shall indemnify C2 if C2 is obliged to pay compensation to a third party in connection with product damage for which Buyer is responsible.
10.2 The Buyer shall inform C2 without delay of any damage caused by the Products of which it becomes aware.
10.3 The parties undertake to maintain customary liability insurance for their activities, including product liability.

11. guaranteer

11.1 C2 purchases all Products from established suppliers. Some manufacturers provide guarantees for their products. In such cases, the warranty period applies from the time the Products were delivered.
11.2 Any warranty claims shall be directed to the respective manufacturer.

12. limitation of liability

12.1 C2 is not liable for any indirect loss that may be incurred by the Buyer. This limitation of liability includes, but is not limited to, loss of production, rental costs, loss of profit and loss of capital. However, the limitation of liability does not apply if C2 is guilty of gross negligence.
12.2 Unless C2 is guilty of wilful misconduct or gross negligence, C2's total liability for damages under this Agreement is limited to an amount equivalent to what the Buyer paid for the defective Products in question.

13. grounds for exemption (force majeure)

13.1 A party is exempt from penalty for failure to fulfil a certain obligation under this Agreement if the failure is based on a circumstance of the kind specified below ("exempting circumstance") and the circumstance prevents, impedes or delays the fulfilment thereof. Exculpatory circumstances shall include, inter alia, action or omission by a public authority, new or amended legislation, conflict on the labour market, blockade, fire, flood or major accident, as well as failure or delay in delivery from a subcontractor caused by such an exculpatory circumstance.
13.2 A party invoking grounds for exemption under the above paragraph shall inform the other party without delay.
13.3 Notwithstanding the above-mentioned exemption from penalty, a party is entitled to terminate the Agreement with immediate effect if the fulfilment of a certain obligation is delayed by more than three (3) months.

14. Specific conditions

14.1 Several of C2's suppliers apply special conditions regarding the use of their trade mark and the trade in their Products. If there is any uncertainty as to whether the Buyer's activities are in conflict with the supplier's terms and conditions, the Buyer must check these terms and conditions with C2 and, if necessary, a separate agreement must be drawn up.

15. Applicable law and dispute resolution

15.2 Disputes concerning the interpretation or application of this Agreement, or any legal relationship arising therefrom or related thereto, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce. The Institute's Rules for Expedited Arbitration shall apply, unless the Institute - taking into account the degree of difficulty of the case, the value of the subject matter of the dispute and other circumstances - decides that the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce shall apply to the proceedings. In the latter case, the Institute shall also decide whether the arbitral tribunal shall consist of one or three arbitrators.
