1.2 The parties may have entered into separate agreements with provisions that differ from these terms and conditions. In the event of such a conflict, such separate agreements shall take precedence over these conditions.
1.3 All prices in the Agreement and these conditions are stated in Swedish kronor excluding VAT, unless otherwise stated.
2. credit information
2.1 C2 is entitled to obtain a credit report on the Buyer. If, in the light of the results, it can be assumed that the Buyer will not be able to fulfil its obligations to C2, C2 is entitled to terminate the Agreement with immediate effect.
2.2 Instead of terminating the Agreement, C2 may require Buyer to provide security for the fulfilment of its obligations. If Buyer refuses to do so, C2 is entitled to refuse delivery or to terminate the Agreement with immediate effect.
3. shipping costs, etc.
3.1 C2 shall arrange for the transport of the Products. This is done via Postens Företagspaket or equivalent to the address stated in the order confirmation. For deliveries over 35 kg, the Products are delivered by road freight.

9.3 If a defect has been caused as a result of the Products being used contrary to the intended purpose, accompanying instructions or by negligence in general on the part of the Buyer or another party, C2 is not obliged to remedy or otherwise take measures in connection with the alleged defect. If it later turns out that C2 was not responsible for the alleged defect, the Buyer shall compensate C2 for all costs incurred by C2 in connection with the complaint and measures resulting from it.
9.4 In addition to the warranty conditions specifically applicable to the Products, C2 is only liable for defects that appear within one (1) year from the date of delivery of the Products.
9.5 If rectification or redelivery has not taken place within a reasonable time from the complaint, the Buyer is entitled to cancel the agreement provided that the defect is of significant importance to the Buyer and C2 realised or should have realised this.
9.6 The Buyer is not entitled to claim against C2 for defects in the Products other than those set out in this clause, except as provided in clause 10 below.
10. product liability

10.3 The parties undertake to maintain customary liability insurance for their activities, including product liability.

13. grounds for exemption (force majeure)
13.1 A party is exempt from penalty for failure to fulfil a certain obligation under this Agreement if the failure is based on a circumstance of the kind specified below ("exempting circumstance") and the circumstance prevents, impedes or delays the fulfilment thereof. Exculpatory circumstances shall include, inter alia, action or omission by a public authority, new or amended legislation, conflict on the labour market, blockade, fire, flood or major accident, as well as failure or delay in delivery from a subcontractor caused by such an exculpatory circumstance.

14.1 Several of C2's suppliers apply special conditions regarding the use of their trade mark and the trade in their Products. If there is any uncertainty as to whether the Buyer's activities are in conflict with the supplier's terms and conditions, the Buyer must check these terms and conditions with C2 and, if necessary, a separate agreement must be drawn up.
15. Applicable law and dispute resolution
15.2 Disputes concerning the interpretation or application of this Agreement, or any legal relationship arising therefrom or related thereto, shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce. The Institute's Rules for Expedited Arbitration shall apply, unless the Institute - taking into account the degree of difficulty of the case, the value of the subject matter of the dispute and other circumstances - decides that the Rules of the Arbitration Institute of the Stockholm Chamber of Commerce shall apply to the proceedings. In the latter case, the Institute shall also decide whether the arbitral tribunal shall consist of one or three arbitrators.
